WMS Trial Evaluation Agreement

Please read this Trial Evaluation Agreement ("Agreement") carefully before activating your free trial account. By registering for and using the Warehouse Management System ("Software") provided by Eclipse Software Pte. Ltd. ("Provider"), you agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

1. Scope of the Evaluation and Restrictions
  • Trial Duration: The Provider grants you a non-exclusive, non-transferable, revocable licence to use the Software for a strict period of thirty (30) days from the date of registration ("Trial Period").
  • No Credit Card Required: No automated billing, fees, or credit card inputs are required to access this trial.
  • Evaluation Purpose Only: You may use the Software solely for internal business evaluation purposes to determine its suitability for your operational needs.
  • Restricted Access: This trial is a limited version of the Software. The Provider reserves the right to restrict or disable API integrations, hardware scanning interfaces, and live environment configurations for trial accounts.
  • No Live Operations: You are strictly prohibited from using the Software to manage live inventory, active warehouse fulfillment, real-world supply chains, or commercial transactions.
2. Data Practices and PDPA Compliance
  • Personal Data Protection Act (PDPA): In accordance with the Singapore Personal Data Protection Act 2012, any personal data collected during registration (such as names, corporate email addresses, and phone numbers) will be used solely for account setup, verification, security monitoring, and trial administrative communication.
  • Dummy Data Requirement: You must use simulated, fictional, or dummy data to test the system. Do not upload live business configurations, commercial transaction history, or personal data belonging to your warehouse employees or customers.
  • Data Deletion: Upon the expiration or termination of the 30-day Trial Period, the Provider reserves the right to delete all data, custom layouts, and configurations without backup, and does not guarantee retention beyond the Trial Period. The Provider is not responsible for any data loss.
3. Limitation of Liability and "As-Is" Status
  • "As-Is" Software: The Software is provided for evaluation on an "as-is" and "as-available" basis. The Provider makes no warranties, explicit or implied, regarding system uptime, performance, or fitness for a particular purpose. No Service Level Agreements (SLAs) apply to trial accounts.
  • Limitation of Liability: To the maximum extent permitted by Singapore law, the Provider shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of profits, data corruption, warehouse operational delays, or business interruptions arising out of the use or inability to use the Software.
  • Singapore Law Exception: Nothing in this Agreement shall exclude or limit liability for death or personal injury caused by negligence to the extent restricted by the Unfair Contract Terms Act 1977 of Singapore.
4. System Security and Termination
  • Account Credentials: You are entirely responsible for maintaining the confidentiality of your login credentials. Account sharing among multiple users or external third parties is strictly prohibited.
  • Immediate Termination: The Provider reserves the absolute right to suspend or permanently terminate your trial account at any time, without prior notice, if any breach of these terms is suspected.
5. Governing Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the Republic of Singapore. Any dispute arising out of or in connection with this trial account shall be subject to the exclusive jurisdiction of the courts of Singapore.
